TERM OF AGREEMENT

Dedari Escapes Signature (DES)


This Terms of Agreement (“Agreement”) governs your use of services provided by Dedari Escapes Signature (DES), a company incorporated under the laws of Malaysia. By engaging DES services, you agree to comply with the terms outlined below.


1. Your Agreement


This Agreement represents the legal document that sets out the basis and terms upon which:


(a) you may access and use the DES website, platforms, and services;

(b) DES provides you with travel, retreat, lifestyle, and event services (“Services”).


This Agreement also contains disclaimers and provisions that limit DES’s liability. Please read carefully before proceeding with any booking.


2. Definitions


Unless otherwise defined, the following terms apply:

  • Agreement – this Terms of Agreement.

  • DES – Dedari Escapes Signature.

  • Client – any party engaging DES services.

  • Services – travel, event, retreat, or lifestyle services provided by DES.

  • Refund – repayment of monies to the Client for an existing booking.

  • Chargeback – a dispute initiated by the Client through their financial institution.

  • Withhold – funds retained temporarily by DES to cover risk or disputes.

  • Business Day – any day (excluding weekends and Malaysian public holidays) when banks in Malaysia are open.

  • Force Majeure – events beyond DES’s reasonable control including natural disasters, pandemics, or government restrictions.


3. Registration, Booking and Information


3.1 Clients must provide accurate, complete, and updated information when making bookings.

3.2 DES reserves the right to request documents before confirming services.

3.3 DES shall not be liable for losses caused by incorrect or incomplete details provided by Clients.


4. Appointment


Once a booking is confirmed, DES agrees to provide the Services as described in the issued confirmation or package.


5. Client Responsibilities


5.1 The Client is responsible for complying with all laws and regulations during DES-organised services.

5.2 The Client shall not engage in illegal, fraudulent, abusive, or unsafe conduct.


6. Services


6.1 DES offers curated experiences and services subject to confirmation and availability.

6.2 DES may adjust or substitute services if required for safety, regulatory, or practical reasons.


7. Client Representations, Warranties and Undertakings


Clients represent and warrant that:


(a) they are legally capable of entering into this Agreement;

(b) information provided to DES is accurate;

(c) they will not misuse DES services for unlawful or harmful activities.


8. Cancellations by DES


8.1 DES may cancel or reschedule services due to unforeseen circumstances (force majeure, safety issues, etc.).

8.2 Clients may be offered an alternative service or a refund, subject to Section 11.


9. Charges and Payments


9.1 All fees must be paid in full before services commence, unless otherwise agreed in writing.

9.2 Charges are quoted in Malaysian Ringgit (MYR).

9.3 DES may revise charges without prior notice.


10. Security and Fraud Control


10.1 The Client is responsible for verifying their own payment and booking details.

10.2 DES is not liable for fraudulent or erroneous bookings unless directly caused by DES.


11. Refunds, Chargebacks and Withholds


11.1 You are liable for all claims, fees, penalties, expenses, fines and other liability DES or any third party may incur caused by or arising out of:


(a) a Chargeback, Refund, over-payment, payment error or other invalid payments;

(b) any error, negligence, misconduct or fraud by you, your employees, or someone acting on your behalf; and

(c) any losses resulting from your failure to comply with this Agreement or your usage of DES services.


11.2 You are responsible for the events specified in the preceding paragraph regardless of how you make bookings or payments. Preventive measures do not affect your responsibility.


11.3 Any instructions given by you in relation to your use of DES services (verbal or written), once authenticated, will be relied on by DES. DES will not be liable for any loss or damage you suffer where DES acts on those instructions in good faith, unless proved grossly negligent.


11.4 You agree to reimburse DES, or a third party, for any and all such liability.


11.5 Refund Terms


(a) DES will not initiate any Refund without official instruction or authorisation from the Client.

(b) A Client may request a Refund at any time based on the terms of the booking. If payment has already been settled, the Client must pay the amount in advance to DES before the Refund can be processed.


11.6 Chargeback Terms


(a) Chargebacks may be initiated for reasons including unauthorised transactions, fraudulent activities, or disputes with the services provided.

(b) DES will not process any Chargeback without official instruction or authorisation from the Client’s financial institution and only after DES has reviewed the booking involved in the dispute.

(c) The Chargeback process must comply with the rules of the relevant financial institution.

(d) Chargeback timelines are between Forty-Five (45) to One Hundred Eighty (180) calendar days, depending on the institution.

(e) The Client acknowledges DES may monitor chargeback activity.

(f) If DES discovers a breach by the Client, it may deduct the amount of the Chargeback from sums payable to the Client or exercise its right to set-off.

(h) A Chargeback fee may be imposed if the Client contests a Chargeback claim.


11.7 Withhold Terms


(a) DES may place a Withhold on a portion of payments if there is a high level of risk or disputes.

(b) Determination may be based on DES’s assessment or information from financial institutions.

(c) If a Withhold is placed, the funds will appear as pending or withheld, and DES will notify the Client.

(d) DES will specify the terms of the Withhold (percentage, duration, conditions).

(e) DES may change Withhold terms by notice.

(f) DES may hold funds as long as necessary to mitigate risks or resolve disputes.

(g) DES may release Withholds earlier if circumstances allow (e.g., dispute resolved).

(h) If a dispute, claim, Chargeback or Refund is filed, DES may place a temporary Withhold until resolved.

(i) The Client remains liable for all obligations even after release of Withheld funds.

(j) The Client grants DES a lien to Withheld funds to recover amounts due.


12. Conclusiveness of Records


In the absence of fraud or manifest error, DES’s records relating to bookings, payments, refunds, chargebacks, and withholds shall be conclusive.


13. Rights of DES


DES reserves the right to investigate, suspend, or terminate services if Clients breach this Agreement, or where risks are identified.


14. Termination or Suspension


DES may terminate or suspend services if the Client:


(a) breaches this Agreement;

(b) provides false or incomplete information;

(c) engages in fraud, misconduct, or unlawful activity.


15. Effects of Termination


All pending payments to DES remain due upon termination. Deposits are non-refundable except as outlined in Section 11.


16. Intellectual Property


All intellectual property relating to DES branding, materials, and content belongs to DES.


17. Disclaimers


DES provides services “as-is” without warranties regarding outcomes beyond its control.


18. Service Warranty Disclaimer


DES is not liable for service interruptions, delays, or cancellations caused by third parties or force majeure.


19. Remedies


The Client’s sole remedy for dissatisfaction with DES services is to discontinue use.


20. Indemnity


The Client agrees to indemnify DES against all claims or losses arising from their use of DES services.


21. Confidential Information


All information shared by Clients with DES will be treated as confidential unless required by law.


22. Waiver


Failure by DES to enforce any provision does not waive its rights.

25. Miscellaneous


If any clause is invalid, the remaining provisions continue in effect.


26. Governing Law


This Agreement is governed by the laws of Malaysia. Any disputes shall be subject to the jurisdiction of the courts of Malaysia.
